Comprehensive Terms of Service governing your use of Indie Hub's platforms and services

Binding Agreement

By accessing or using Indie Hub's services, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our services. This agreement is governed by the laws of India and complies with the Information Technology Act, 2000.

Definitions & Interpretation

In these Terms and Conditions, unless the context otherwise requires:

"Platform"

Refers to Indie Hub website, applications, and all related digital services

"User" / "You"

Any individual or entity accessing or using our services

"Services"

All products, features, funding, tools, and services provided by Indie Hub

"Content"

All text, graphics, data, code, and materials on the Platform

"Account"

Your registered user profile on the Platform

"Founder"

Entrepreneurs and startup founders using our platform

Acceptance of Terms

By accessing, browsing, or using Indie Hub, you acknowledge that:

You have read, understood, and agree to be bound by these Terms and Conditions

You are at least 18 years old or have reached the age of majority in your jurisdiction

You have the legal capacity and authority to enter into this binding agreement

If representing a business, you have authority to bind that entity to these Terms

Violation of these Terms may result in immediate suspension or termination of your account

User Accounts & Registration

3.1 Account Creation

To access certain features, you must create an account by providing:

Accurate and complete personal/business information
Valid email address and phone number
Secure password meeting our security requirements
KYC documentation as required by applicable laws
Consent to our Privacy Policy and data processing

3.2 Account Security & Responsibilities

You are solely responsible for maintaining the confidentiality of your login credentials

You must notify us immediately of any unauthorized access or security breaches

You are liable for all activities conducted through your account

Account sharing or transfer is strictly prohibited without prior written consent

We reserve the right to suspend accounts showing suspicious activity

Permitted Use of Services

4.1 Acceptable Use

You may use Indie Hub's services for:

Building and managing startup projects

Accessing funding and investment opportunities

Networking with founders and investors

Participating in community discussions

Utilizing our tools and resources

Showcasing your portfolio and work

4.2 Prohibited Activities

You must NOT:

Violate any applicable laws, regulations, or third-party rights
Upload malicious code, viruses, malware, or harmful content
Engage in fraudulent activities, scams, or misrepresentation
Harass, threaten, defame, or intimidate other users
Attempt to gain unauthorized access to systems or user accounts
Scrape, crawl, or extract data using automated tools without permission
Use the platform for spam, mass marketing, or unsolicited communications
Impersonate others or create fake accounts
Reverse engineer, decompile, or disassemble our software
Interfere with or disrupt the integrity or performance of our services

Intellectual Property Rights

5.1 Our Intellectual Property

All content, features, functionality, trademarks, logos, and intellectual property on the Platform are owned by Indie Hub Private Limited and protected by:

Copyright laws (Copyright Act, 1957)
Trademark laws (Trade Marks Act, 1999)
Patent laws where applicable
Information Technology Act, 2000
International intellectual property treaties

5.2 User-Generated Content

You retain ownership of content you create and submit. However, by submitting content, you grant Indie Hub a:

Non-exclusive, worldwide, royalty-free, perpetual license to:

•Use, reproduce, modify, and display your content
•Distribute and sublicense content for platform operations
•Create derivative works for promotional purposes
•Store content on our servers and backup systems

You represent and warrant that you own or have necessary rights to all content you submit and that such content does not violate any third-party rights.

Payment Terms & Fees

6.1 Pricing & Billing

All fees are quoted in Indian Rupees (INR) and payable in advance unless otherwise specified
Subscription fees are billed on a recurring basis (monthly/annually) as per your plan
Prices are subject to change with 30 days prior written notice
Payment can be made via credit card, debit card, UPI, net banking, or other approved methods
All payments are subject to applicable GST and other taxes as per Indian tax laws

6.2 Refund Policy

Important Refund Information:

•Subscription fees are generally non-refundable except as required by law
•Refund requests must be submitted within 7 days of payment for eligible services
•Funding and investment transactions are non-refundable
•Partial refunds may be provided at our sole discretion for service interruptions
•Processing fees and payment gateway charges are non-refundable

6.3 Late Payment & Suspension

Failure to pay fees may result in immediate service suspension
Late payments may incur additional charges as permitted by law
Accounts with overdue payments may be terminated after 30 days
You remain liable for all outstanding fees even after termination

Disclaimer & Limitation of Liability

7.1 Service Disclaimer

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

•Warranties of merchantability, fitness for a particular purpose, or non-infringement
•Guarantees of accuracy, reliability, or completeness of content
•Assurances of uninterrupted, error-free, or secure operation
•Warranties regarding third-party services or integrations

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INDIE HUB SHALL NOT BE LIABLE FOR:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, goodwill, or business opportunities
Service interruptions, downtime, or technical failures
Third-party actions, content, or services
Investment losses or failed funding opportunities
Unauthorized access or data breaches beyond our reasonable control

Maximum Liability Cap:

Our total liability for any claims arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim, or ₹10,000, whichever is greater.

Indemnification

You agree to indemnify, defend, and hold harmless Indie Hub, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

Your violation of these Terms and Conditions
Your misuse of the Platform or Services
Your violation of any applicable laws or third-party rights
Content you submit or share on the Platform
Your interactions with other users
Unauthorized access to your account due to your negligence

Termination & Suspension

9.1 Termination by You

You may terminate your account at any time through account settings or by contacting support
Termination does not relieve you of obligations incurred prior to termination
No refunds will be provided for unused subscription periods upon voluntary termination
You must export or backup your data before termination as it may be deleted

9.2 Termination by Indie Hub

We reserve the right to suspend or terminate your account immediately, without prior notice, if:

You breach these Terms and Conditions
Your account is involved in fraudulent or illegal activities
You fail to pay fees or charges when due
Your actions harm or may harm other users or our business
Required by law enforcement or regulatory authorities
We discontinue the service (with 30 days notice for paid users)

9.3 Effects of Termination

Upon termination:

•Your right to access and use the Platform immediately ceases
•We may delete or deactivate your account and all associated data
•Sections of these Terms that should survive will remain in effect (IP rights, liability limitations, etc.)
•Outstanding payment obligations remain enforceable

Governing Law & Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, including but not limited to:

The Indian Contract Act, 1872
The Information Technology Act, 2000
The Consumer Protection Act, 2019
Applicable regulations by SEBI, RBI, and other authorities

10.2 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India. You irrevocably consent to the jurisdiction and venue of such courts.

10.3 Arbitration

Before initiating litigation, parties agree to attempt resolution through arbitration:

•Arbitration shall be conducted under the Arbitration and Conciliation Act, 1996
•Single arbitrator mutually agreed upon by parties, or appointed by the court
•Arbitration proceedings shall be conducted in English
•Venue: Bengaluru, Karnataka, India
•Arbitration costs shall be borne as determined by the arbitrator

Privacy & Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which complies with:

Information Technology Act, 2000
And IT Rules, 2011 (Reasonable Security Practices)
Digital Personal Data Protection Act, 2023
India's comprehensive data protection framework
SEBI Guidelines
For collection of investor information
PMLA Regulations
For KYC and financial data retention

Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

Update the "Last Updated" date at the top of this page
Send email notifications to registered users
Display prominent notices on the Platform
Provide 30 days notice for material changes affecting paid services

Your Acceptance: Continued use of our services after changes constitute acceptance of the modified Terms. If you disagree with changes, you must discontinue use and may terminate your account.

Miscellaneous Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and other referenced policies, constitute the entire agreement between you and Indie Hub.

13.2 Severability

If any provision is found to be unenforceable, the remaining provisions shall remain in full force and effect.

13.3 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

13.4 Assignment

You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.

13.5 Force Majeure

We shall not be liable for delays or failures due to causes beyond our reasonable control, including natural disasters, war, terrorism, or infrastructure failures.

13.6 Language

These Terms are written in English. Any translations are for convenience only. In case of conflict, the English version prevails.
